Welcome to www.runnup.com. This website and related services are provided by RUNNUP for customers and visitors. They are part of the wider RUNNUP online network. Whenever you access or use this site, a related website, a mobile application, or any other RUNNUP offering, you agree to these Terms and Conditions in full. This remains true even if you arrive through a saved link, bookmarked page, or other direct path.

3. Account Responsibility

This permission does not cover resale or commercial use of the site or its contents, collection or use of product listings, descriptions, or prices, derivative use of site materials, downloading or copying account information for another merchant, or the use of data mining tools, robots, image stripping, or similar extraction methods.

Without prior written approval, no part of the website may be reproduced, duplicated, copied, sold, resold, visited, or commercially exploited. You may not frame the site or use framing techniques to capture any RUNNUP trademark, logo, image, text, layout, form, or other proprietary material. You may not use hidden text, meta tags, source-calling, direct linking, or any other method that uses RUNNUP’s name, trademarks, trade dress, or intellectual property without express written permission. Unauthorized use ends any permission or license previously granted.

A limited, revocable, non-exclusive right is granted to link to the RUNNUP home page, provided the link does not portray RUNNUP, its affiliates, products, or services in a false, misleading, offensive, or derogatory manner. If you share a cart by email, create a saved cart, or have one created for you by our team, you may receive follow-up emails about that cart. You can unsubscribe at any time through the instructions provided in those emails.

6. User Submissions and Communications

RUNNUP may allow users to post comments, feedback, suggestions, reviews, questions, and other materials. Such content should be in English. Content must not be false, misleading, unlawful, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property, harmful to third parties, or otherwise objectionable. It must not contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or spam. By submitting content, you confirm that you are the sole author and owner of the content or otherwise have sufficient rights to provide it; that you are at least 18 years old, or if under 18 but at least 16, that your submission is made under the supervision of a parent or legal guardian who agrees to this agreement; and that use of the content will not violate these terms or injure any person or entity.

Any content you post, upload, or otherwise make available gives RUNNUP, its affiliates, and related entities a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, and fully sublicensable license to use, copy, reproduce, distribute, publish, publicly display, publicly perform, modify, adapt, translate, archive, store, and create derivative works from that content in any medium or format, whether existing now or developed later. This includes the right to use the content throughout RUNNUP’s websites, advertisements, media, and related channels; to make the content searchable to users of the RUNNUP network; to place advertising alongside it; and to use your name, likeness, and related information in connection with the material you provide. You waive moral rights in the content to the extent permitted. RUNNUP may also use any material, ideas, concepts, know-how, or techniques contained in communications you send to us for any purpose, including commercial purposes and the development, manufacture, and marketing of goods or services. No additional compensation will be owed for these rights. RUNNUP and its sublicensees may use the name you submitted with the content if they choose.

You further represent and warrant that you own or control the rights to the content you submit, that the content is accurate, that its use does not breach this policy or cause harm to any person or entity, and that you will indemnify RUNNUP against claims arising from content you provide.

When sharing content, do not include your full name or other confidential personally identifiable information about yourself or others. Sharing personal information is done at your own risk. RUNNUP is not responsible for damage or harm resulting from your decision to disclose personal information. Material uploaded to our site or app, excluding payment information, may be visible to your team members. You remain responsible for your own data and usage costs.

7. Prices and Quotes

RUNNUP works to keep pricing and product information accurate, but errors may occur. The price of an item cannot be confirmed until an order has been placed. If an item is listed at an incorrect price or with incorrect information because of a pricing or product data error, RUNNUP may either contact you for instructions or cancel the order and notify you of that cancellation. Prices and availability may be updated without notice.

Quoted prices remain valid until the stated expiration date. Even so, pricing may change without notice where there are adjustments to specifications, quantity, design, or delivery schedules, or where costs change due to materials, supplies, labor, clerical error, or foreign or domestic legislation.

8. Order Review and Acceptance

Some orders cannot be accepted and may need to be cancelled. RUNNUP may refuse or cancel any order at its sole discretion and for any reason. Payment is taken when an order is placed, and shipment will take place within the timeframe shown on the relevant product page or described in the Shipping Policies section of the website. If shipment cannot occur within 24 hours, the funds may be held as a deposit on the goods until shipment takes place. 

Reasons for cancellation may include quantity limitations, product or pricing errors, or issues identified by our credit and fraud prevention team. Additional information or verification may also be requested before an order is accepted. If all or part of an order is cancelled, or if more information is required, we will contact you. If payment was already received for a cancelled order, a credit will be returned to the original payment method for the amount charged.

9. Purchase Limits and Dealer Restrictions

RUNNUP may limit the number of items purchased by one person, household, or order. These limits can apply where orders share the same payment account, billing address, shipping address, or email address. When such restrictions are applied, notice will be provided to the customer email and or billing address supplied. RUNNUP also reserves the right to restrict or prohibit sales to dealers. Customers wishing to buy multiple items for a corporation or institution should contact our Sales Team.

10. Product Information

RUNNUP tries to present product descriptions and related content as accurately as possible. However, it does not warrant that product descriptions or other site content are accurate, complete, reliable, current, or error-free. If a product purchased from RUNNUP is not as described, the only remedy is to return it in unused condition.

We also seek to display colors and finishes as accurately as possible. Because color display depends on the user’s monitor or device, RUNNUP cannot guarantee that on-screen colors or finishes will exactly match the actual product.

11. Indemnity

You agree to defend, indemnify, and hold RUNNUP harmless from all claims, damages, costs, and expenses, including legal fees, arising from or related to your misuse of the website.

12. Ownership and Copyright

All material on this site, including text, graphics, logos, button icons, images, audio or video content, digital downloads, data compilations, and software, belongs to RUNNUP or its content suppliers and is protected by the copyright laws applicable in Hong Kong.

The compilation of all content on this website is the exclusive property of RUNNUP and is also protected by Hong Kong copyright laws. Software used on the site belongs to RUNNUP or its software suppliers and is protected in the same way.

13. Warranty Disclaimer and Liability Limits

This website is provided by RUNNUP on an “as is” and “as available” basis. RUNNUP gives no representations or warranties of any kind, express or implied, regarding site operation or the information, content, materials, or products included on the site. To the fullest extent allowed by applicable law, RUNNUP disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose. Without limiting the foregoing, RUNNUP disclaims all warranties relating to merchandise offered on the site. By using the RUNNUP website, you acknowledge that you do so at your own risk. This disclaimer does not apply to any product warranty supplied by the item’s manufacturer. This disclaimer is a fundamental part of this agreement.

Neither RUNNUP nor its affiliates, employees, directors, officers, agents, vendors, or suppliers will be liable to you under any legal or equitable theory, whether in contract, tort, strict liability, or otherwise, and RUNNUP’s liability will never exceed the price paid for the product giving rise to the claim.

14. Governing Law and Dispute Resolution

For customers in the United Kingdom and other countries in the European Union, these Terms are governed by and construed under the laws of the United Kingdom. For customers located outside the United Kingdom and the European Union, these Terms are governed by and construed under the laws of Hong Kong, as applied to agreements entered into and performed within Hong Kong.

Any dispute, action, or proceeding arising from these Terms or your use of the site will be resolved through binding arbitration under the rules applicable in the relevant jurisdiction, namely the United Kingdom or Hong Kong. Such matters must be brought individually and may not be consolidated with the claims or disputes of any other party.
